Welcome to Kharidee. This document is an electronic record in terms of the Information Technology Act, 2000, and is published in accordance with the provisions of Rule 3 of the Information Technology (Intermediaries Guidelines) Rules, 2011. This publication is a requirement that mandates the dissemination of rules and regulations, privacy policy, and Terms of Use for access or usage of the Kharidee marketplace platform –www.Kharidee.in(hereinafter referred to as "Platform").

The Platform is owned by Zetzurn e-commerce LLP, having its registered office at 919/9, Nanda Nagar Indore, - 452011, Madhya Pradesh, India

Your use of the Kharidee and services and tools are governed by the following terms and conditions ("Terms of Use") as applicable to the Kharidee, including the applicable policies which are incorporated herein by way of reference. By mere use of the Kharidee, You shall be contracting with Zetzurn e-commerce LLP, the owner of the Platform. These terms and conditions, including the policies, constitute Your binding obligations with Kharidee.

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any natural or legal person who has agreed to become a buyer on the Platform by providing data while registering on the Platform as a Registered User. The term "Kharidee," "We," "Us," "Our" shall mean Zetzurn e-commerce LLP and its affiliates.

When You utilize any of the services provided by Us through the Platform, including but not limited to (e.g., Product Reviews, Seller Reviews), You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service. They shall be deemed to be incorporated into these Terms of Use and considered as an integral part of this agreement. We reserve the right, at Our sole discretion, to modify, amend, add, or remove portions of these Terms of Use, at any time without any prior written notice to You. You shall ensure to review these Terms of Use periodically for updates/changes. Your continued use of the Platform following the posting of changes will indicate that You accept and agree to the revisions. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform. By impliedly or expressly accepting these Terms of Use, You also accept and agree to be bound by Kharidee Policies, including but not limited to the Privacy Policy, as amended from time to time.

Transaction Eligibility on the Platform

Use of the Kharidee Platform for transactions is restricted to individuals who can form legally binding contracts under the Indian Contract Act, 1872. Individuals deemed "incompetent to contract" under the Indian Contract Act, 1872, including un-discharged insolvents, are ineligible to use the Platform.

If you are a minor, i.e., under the age of 18 years, you may only use the Platform and access its content under the supervision and with the prior consent/permission of a parent or legal guardian.

Minors wishing to transact on the Platform must have such transactions conducted by their legal guardian or parents. Kharidee reserves the right to terminate the membership and/or refuse access to the Platform if it comes to Kharidee's notice that an individual under the age of 18 years is transacting on the Platform.

User Responsibility and Account Security

If You use the Platform, you shall be responsible for maintaining the confidentiality of your Display Name and Password and You shall be responsible for all activities that occur under your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or not in accordance with this Terms of Use, We shall have the right to indefinitely suspend or terminate or block Your access on the Platform. If there is reason to believe that there is likely to be a breach of security or misuse of Your account, we may request You to change the password or we may suspend Your account without any liability to Kharidee, for such period of time as we deem appropriate in the circumstances. We shall not be liable for any loss or damage arising from Your failure to comply with this provision. In the event of a device being associated with multiple logins or sign ups, as a measure to enhance customer's security and privacy as well as safeguarding your sensitive information for any potential risks, Kharidee sometimes consider moderating users and their association with devices while using the Kharidee website. Your e-mail address/or mobile phone number is treated as Your primary identifier on the Platform. It is your responsibility to ensure that e-mail address/or Your mobile phone number is up to date on the Platform at all times. You agree to notify Us promptly if your mobile phone number or e-mail address changes by updating the same on the Platform through an OTP verification. You agree that Kharidee shall not be liable or responsible for the activities or consequences of use or misuse of any information that occurs under your Account in cases, including, where You have failed to update Your revised mobile phone number and/or e-mail address on the Platform. You agree to immediately notify Kharidee of any unauthorized use/breach of your password or account. If You share or allow others to have access to Your account on the Platform ("Account"), by creating separate profiles under Your Account, or otherwise, they will be able to view and access Your Account information, You shall be solely liable and responsible for all the activities undertaken under Your Account, and any consequences therefrom. In the event that you haven't logged into the Platform for a consecutive period of two (2) years, all your data, including transactional records, will be permanently removed from our records. Consequently, you will lose access to this data and any associated information on the Platform.

Services Provided by Kharidee

Kharidee offers a diverse range of Internet-based services through its Platform. One prominent service allows users to purchase a variety of original merchandise, including clothing, footwear, and accessories, sourced from numerous fashion and lifestyle brands (hereafter collectively referred to as "Products"). These Products are made available for purchase through the Platform, utilizing various payment methods provided. The sale and purchase transactions of Products are subject to specific policies of sale, encompassing cancellation policies, exchange policies, return policies, and others. It is essential to note that when initiating a return request, users are required to confirm, via a checkbox click, that the product being returned is unused and retains its original tags. Should the returned product be found used, damaged, or lacking the original tags, the user's return request will be declined, and the product will be re-shipped back to the customer. If a return request is declined due to the aforementioned reasons, the user will not be eligible for a refund, and Kharidee disclaims any liability in this regard. Furthermore, if the user fails to accept the receipt of the re-shipped product, they will remain ineligible for a refund, and Kharidee assumes no liability concerning the return or refund for the re-shipped product. Additionally, these Terms of Use may be supplemented by specific conditions related to each Product, which will be displayed alongside the respective Product.

User Interaction on the Platform

Users on the Kharidee platform engage with each other to meet and interact for their transactions. It's important to note that Kharidee operates as a facilitator, and as such

Users independently initiate and participate in transactions on the platform, interacting with one another for various purposes, including buying and selling.

Kharidee operates as a neutral platform and is not a party to, nor can it control any aspect of, the transactions between users.

The platform does not interfere with the negotiations, agreements, or interactions between users during their transactions.

Kharidee does not participate in the actual transactions, including the exchange of goods, services, or monetary transactions between users.

Users are solely responsible for the terms, conditions, and outcomes of their transactions, and Kharidee assumes no liability in connection with these user-to-user interactions.

Kharidee does not influence or control the decisions, actions, or behavior of users engaged in transactions on the platform.

It's crucial for users to understand and acknowledge that Kharidee acts as a platform for facilitating interactions, and any agreements or disputes between users are their sole responsibility.

Independence of Commercial/Contractual Terms

All commercial/contractual terms are solely offered by and agreed upon between Buyers and Sellers on the Kharidee platform. These terms encompass, but are not limited to, aspects such as price, shipping costs, payment methods, payment terms, delivery dates, periods, modes, and warranties related to products and services, as well as after-sales services. Importantly.

Buyers and Sellers independently determine and negotiate the terms of their transactions without interference from Kharidee

Kharidee does not possess any control or involvement in establishing, advising, or influencing the commercial/contractual terms agreed upon between Buyers and Sellers

The platform refrains from determining, advising, or involving itself in the offering or acceptance of commercial/contractual terms. These terms are exclusively decided upon by the involved parties

Buyers and Sellers are responsible for understanding, agreeing upon, and fulfilling the commercial/contractual terms of their transactions.

Kharidee does not play a role in determining or advising on the terms of transactions, leaving the negotiation and agreement process to the discretion of the involved parties.

Kharidee expressly disclaims making any representations or warranties regarding the specifics, including but not limited to quality, value, or saleability, of the products or services proposed to be sold or offered on the platform

Kharidee explicitly disclaims responsibility for any non-performance or breach of contracts entered into between Buyers and Sellers on the platform.

At no time does Kharidee assert any right, title, or interest over the products listed on the platform.

The Kharidee is only a platform that can be utilized by Users to reach a larger base to buy and sell products or services. Kharidee is only providing a platform for communication and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between the Seller and the Buyer. At no time shall Kharidee hold any right, title or interest over the products nor shall Kharidee have any obligations or liabilities in respect of such contract. Kharidee is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.

Prices displayed on the Kharidee platform may be subject to adjustments due to technical issues, typographical errors, or inaccuracies in product information provided by the seller.

By using the Kharidee platform, you agree to release and indemnify Kharidee, along with its officers and representatives, from any costs, damages, liabilities, or other consequences resulting from the actions of users on the platform.

Binding Rules Governing Your Use of the Platform

By using the Kharidee platform, you explicitly agree, undertake, and confirm that your conduct and activities on the platform shall be strictly governed by the following binding rules:

You shall not host, display, upload, modify, publish, transmit, update, or share any information which.

You shall not host, display, upload, modify, publish, transmit, update, or share any information that belongs to another person and to which you do not have any right.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable. Additionally, you shall not engage in activities that are disparaging, related to or encouraging money laundering or gambling, or are otherwise unlawful in any manner whatsoever.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that is misleading in any way.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing or "spamming."
You shall not host, display, upload, modify, publish, transmit, update, or share any information that promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libelous.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that infringes upon or violates any third party's rights, including but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, email address, physical address, or phone number), or rights of publicity.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page).
You shall not host, display, upload, modify, publish, transmit, update, or share any information that provides instructional information about illegal activities, such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that contains videos, photographs, or images of another person (with a minor or an adult) without their explicit consent.
You shall not engage in activities that try to gain unauthorized access or exceed the scope of authorized access to the Platform or to profiles, blogs, communities, account information, bulletins, friend requests, or other areas of the Platform. Additionally, you shall not solicit passwords or personal identifying information for commercial or unlawful purposes from other users.
You shall not engage in any activity that interferes with another user's use and enjoyment of the Platform or any other individual's use and enjoyment of similar services.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that infringes any patent, trademark, copyright, or other proprietary rights or third party's trade secrets. Additionally, your activities shall not violate rights of publicity or privacy, and shall not be fraudulent or involve the sale of counterfeit or stolen products.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that violates any law for the time being in force.

You shall not host, display, upload, modify, publish, transmit, update, or share any information that threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order. Additionally, your activities shall not cause incitement to the commission of any cognizable offence, prevent investigation of any offence, or insult any other nation.
You shall not host, display, upload, modify, publish, transmit, update, or share any information that is false, inaccurate, or misleading.
You shall not engage in activities that create liability for us or cause us to lose (in whole or in part) the services of our internet service provider ("ISPs") or other suppliers.

A User may be considered fraudulent or loss to business due to fraudulent activity if any of the following scenarios are met.

Users doesn't reply to the payment verification mail sent by Kharidee,Users fails to produce adequate documents during the payment details verification, Misuse of another user's phone/email is strictly prohibited on our platform. Any unauthorized access or improper use of another user's contact information, including phone numbers or email addresses, is a violation of our terms of service. Such actions undermine the trust and security within our community, Users uses invalid address, email and phone no. write the same, Overuse of a voucher code, Use of a special voucher not tagged to the email ID used, Users returns the wrong product, Users refuses to pay for an order, Users involved in the snatch and run of any order, Miscellaneous activities conducted with the sole intention to cause loss to business/revenue to Kharidee, User with excessive returns, Repeated request for monetary compensation for fake/used order.

Kharidee reserves the right to cancel any order that falls under the classification of 'Bulk Orders' or 'Fraud Orders' based on specific criteria at any stage of the product delivery process. An order may be designated as a 'Bulk Order' or 'Fraud Order'if it satisfies the criteria outlined below and any additional criteria as defined by Kharidee.

Bulk Orders

Orders placed in quantities that exceed reasonable personal or household usage.
Suspicious patterns of ordering identical or similar products in large quantities.
Orders from a single user account, shipping address, or payment method that appear to be intended for resale.

Fraud Orders

Orders involving payment discrepancies, such as unauthorized transactions, stolen credit cards, or other fraudulent payment methods.
Orders associated with suspicious user behavior, including multiple accounts linked to the same individual.
Any attempt to exploit system vulnerabilities or manipulate the ordering process for illegitimate gains.

Kharidee reserves the right to update and expand these criteria as needed to address evolving challenges and maintain the integrity of the platform. Users are encouraged to review and adhere to the platform's policies to ensure a fair and secure shopping environment for all.

User-Generated Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music and artwork (collectively, "Content"), is a third-party user generated content and Kharidee has no control over such third-party user generated content as Kharidee is merely an intermediary for the purposes of this Terms of Use. Such Content will become our property and you grant us the worldwide, perpetual and transferable rights in such Content. We shall be entitled to, consistent with our Privacy Policy as adopted in accordance with applicable law, use the content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include the content you provide.

You are permitted to use information regarding the products and services intentionally made available on the Kharidee platform for downloading, subject to the following conditions

When using information on products and services available for downloading on the Kharidee platform, you agree not to remove any proprietary notice language present in all copies of such documents.

use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media.

You are required to make no modifications to any information on products and services available for downloading from the Kharidee platform.

You are prohibited from making any additional representations or warranties relating to the documents on products and services available for downloading from the Kharidee platform.

If, due to the return or cancellation of any products in an order that originally qualified for an offer, the total order value falls below the minimum required threshold specified by the offer, the user will be considered ineligible for the offer. In such cases.

Any cashback that was initially credited as part of the offer will be void and deducted from the value of the item being returned or cancelled.

The remaining balance after deducting the voided cashback will be processed as a refund to the user.

Disclaimer of Warranties for Materials, Products, and Services

All the materials and products (including but not limited to software) and services, included on or otherwise made available to you through platform are provided on "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the forgoing paragraph, Kharidee does not warrant that, Platform will be constantly available, or available at all or the information on Platform is complete, true, accurate or non-misleading.

Terms for Registered Sellers

As a registered seller, you are allowed to list item(s) for sale on the Platform in accordance with the Policies which are incorporated by way of reference in this Terms of Use. You must be legally able to sell the item(s) you list for sale on the Platform. You must ensure that the listed items do not infringe upon the intellectual property, trade secret or other proprietary rights or rights of publicity or privacy rights of third parties. Listings may only include text descriptions, graphics and pictures that describe your item for sale. All listed items must be listed in an appropriate category on the Platform. All listed items must be kept in stock for successful fulfilment of sales. The listing description of the item must not be misleading and must describe actual condition of the product. If the item description does not match the actual condition of the item, you agree to refund any amounts that you may have received from the Buyer. You agree not to list a single product in multiple quantities across various categories on the Platform. Kharidee reserves the right to delete such multiple listings of the same product listed by you in various categories. We may provide you alternation services (limited to alteration of length, alteration of the waist size) for the garments purchased by You from Us. This service shall be free of cost and no amount would be collected from You for such alteration. However, a nominal fee as mentioned by Kharidee at the time of creating the alteration request (inclusive of service tax) would be applicable as convenience charge towards pick up and drop of the garments or towards tailor visit (wherever applicable).

Payment Facility for Buyers

As a buyer, you acknowledge that when you initiate a transaction on the Kharidee platform, you are entering into a legally binding and enforceable contract with the seller. This contract pertains to the purchase of products and/or services from the seller, and you commit to paying the agreed Transaction Price through your Issuing Bank to the seller, utilizing the platform's Payment Facility.

As a buyer, you have the option to reach an agreement with the seller through electronic communication and records. Utilizing the automated features provided by the Payment Facility, both parties can discuss and decide on any extension or increase in the dispatch and/or delivery time. In such cases, the transaction will be amended accordingly. It's important to note that any alterations to the dispatch or delivery time should adhere to the rules and policies of the Payment Facility.

As a buyer, it is your responsibility to electronically notify the Payment Facility using the designated features on the Kharidee Platform promptly upon receiving the delivery or in case of non-delivery, within the specified time frame outlined in the Policies. Failure to provide notification within the stipulated time will be considered as an implied acceptance of the delivery for that particular transaction. Notably, for Cash-On-Delivery transactions, there is no obligation for the buyer to confirm the receipt of products or services.

As a buyer, you have the right to claim a refund of the Transaction Price, which is your sole and exclusive remedy, if you do not receive the delivery within the agreed-upon time frame specified in the transaction or as outlined in the Policies, whichever comes earlier. It's important to note that you must initiate a refund claim using the designated platform features within the specified time. Failure to raise a refund claim within the stipulated time will render you ineligible for a refund.

As a buyer, it is important to acknowledge that the Payment Facility may not be fully available for certain categories of products, services, or transactions, as specified in the Policies. Consequently, you may not have the entitlement to a refund for transactions involving those particular products and/or services. This limitation is outlined in the platform policies.

For transactions other than Cash On Delivery (COD), any refund, if applicable, will be processed through the same Issuing Bank from which the Transaction Price was originally received. Alternatively, you may choose from other available methods on the platform for the refund process.

In the case of Cash On Delivery (COD) transactions, any applicable refunds will be facilitated through electronic payment transfers.

Refunds will be processed exclusively in Indian Rupees and will be equivalent to the Transaction Price received in Indian Rupees.

In the case of electronic payments, the refund will be executed through the payment facility using NEFT/RTGS or any other online banking/electronic funds transfer system sanctioned by the Reserve Bank of India (RBI).

Refunds may be facilitated for specific banks. In cases where a bank is not supported for processing refunds, you will need to provide alternative bank account details for the refund process.

Refunds will be subject to specific conditions and will include recourse options available to Kharidee in case of any misuse by the buyer.

We may also require you to provide additional documents for the purpose of verification.

The refund process is contingent upon the buyer's adherence to the platform's policies.

Kharidee retains the right to set constraints on the quantity of transactions or the total transaction amount it may receive from an individual using a Valid Credit/Debit/Cash Card/Valid Bank Account, or any other financial instrument. This includes both direct and indirect transactions through payment aggregators or other facilities authorized by the Reserve Bank of India to facilitate payment collection and remittance. Kharidee also reserves the authority to decline processing transactions that surpass the specified limit during any given time period.

Kharidee holds the right to decline the processing of transactions initiated by buyers who have a previous record of questionable charges. This includes instances such as a breach of agreements with Kharidee, violation of any law, charges imposed by the Issuing Bank, or non-compliance with any policies established by Kharidee.

Before approving the receipt of the Transaction Price or the buyer's commitment to pay (applicable for Cash On Delivery (COD) transactions), Kharidee may conduct checks it deems necessary for security or other reasons at its discretion. If, as a result of such checks, Kharidee is not satisfied with the buyer's creditability, the genuineness of the transaction, or for any other reasons at its sole discretion, Kharidee reserves the right to reject the receipt of the Transaction Price or the buyer's commitment to pay. It is clarified that the 'Cash On Delivery (COD)' payment feature may be disabled for certain account users at the sole discretion of Kharidee.

Kharidee reserves the right to postpone the notification of payment confirmation, which informs the seller to dispatch, in cases it deems suspicious or for buyers involved in high transaction volumes. This precautionary measure aims to ensure the safety of the transaction and the Transaction Price. Additionally, Kharidee may withhold the Transaction Price, refraining from notifying the seller to dispatch or remit the Transaction Price, and may cooperate with law enforcement officials. This collaboration could involve forwarding the Transaction Price to law enforcement officials instead of refunding it to the buyer, especially in situations where the buyer is suspected of engaging in illegal activities.

Both the buyer and seller acknowledge that Kharidee will not be held liable for any damages, interests, or claims arising from the non-processing or delayed processing of a Transaction or Transaction Price, especially when such delays are beyond the control of Kharidee.

Adherence to Legal Requirements

In accordance with applicable laws, if a customer makes a purchase amounting to or exceeding INR 49,999.00, the customer is obligated to upload a scanned copy of their PAN card on the Platform within 4 days of the purchase. Failure to comply within this timeframe will result in the cancellation of the customer's purchase. It's important to note that the PAN card submission requirement is a one-time occurrence, and if the customer has already submitted the PAN card, there is no need to resubmit. However, the customer's order will be cancelled if there is a discrepancy between the name on the PAN card and the customer's name.

Buyers and sellers are required to adhere to all applicable laws, including but not limited to the Foreign Exchange Management Act, 1999, the Customs Act, the Information Technology Act, 2000 (as amended by the Information Technology Amendment Act, 2008), the Prevention of Money Laundering Act, 2002, the Foreign Contribution Regulation Act, 1976, the Income Tax Act, 1961, and the Export Import Policy of the government of India. This compliance extends to the use of the Payment Facility and the Kharidee Platform.

Buyer's Agreement with Issuing Bank

All valid Credit/Debit/Cash Card/Gift Card and other payment instruments undergo processing through a Credit Card payment gateway or suitable payment system infrastructure. This process is subject to the terms and conditions mutually agreed upon between the buyer and the respective Issuing Bank and the company issuing the payment instrument.

Online Bank Transfers from valid bank accounts are facilitated through the gateway offered by the corresponding Issuing Bank, which supports the Payment Facility to deliver these services to users. The terms and conditions governing these Online Bank Transfers on the Payment Facility are also in accordance with the agreements between the buyer and the respective Issuing Bank.

Digital Platform for Communication

By using Kharidee, you agree, understand, and acknowledge that it functions as an online platform allowing you to buy products listed at the indicated prices. It's important to recognize that Kharidee operates solely as a facilitator, refraining from being a direct participant or controller in any transactions that occur on the platform.

Indemnification

You agree to indemnify and protect Kharidee, its owner, licensee, affiliates, subsidiaries, applicable group companies, and their respective officers, directors, agents, and employees from any claims, demands, actions, or penalties, including reasonable legal fees, brought by third parties. This indemnification arises from your breach of the Terms of Use, Privacy Policy, and other policies or your violation of laws, rules, regulations, or the rights (including intellectual property rights) of third parties.

Protection of Trademarks, Copyrights, and Restrictions

The Platform, managed and operated by Kharidee, facilitates the sale of products by various Sellers. All content on the Platform, such as images, illustrations, audio clips, and videos, is protected by copyrights, trademarks, and other intellectual property rights. The material provided on Kharidee is intended for your personal, non-commercial use. Any form of copying, reproduction, republishing, uploading, posting, transmitting, or distributing this material is strictly prohibited without prior written consent. Modification of materials or use for purposes other than personal, non-commercial use is considered a violation of copyrights and trademarks. You, as the content provider, retain ownership and sole responsibility for any content you upload or provide during your use of any Service. However, you grant us the right to use and reproduce the content for reasonable business purposes on a royalty-free, irrevocable, unconditional, perpetual, and worldwide basis.

Limitation of Liability

Kharidee shall not be responsible for any indirect, punitive, incidental, special, or consequential damages or any other damages resulting from the specified circumstances.

Kharidee shall not be held responsible for any indirect, punitive, incidental, special, or consequential damages, or any other damages resulting from such circumstances.

Unauthorized access to or unauthorized alteration of the user's transmissions or data is not the responsibility of Kharidee.

Kharidee shall not be held responsible for any breach of conditions, representations, or warranties made by the manufacturer of the products.

Kharidee shall not be held liable for any issues related to the services, including damages for loss of use, data, or profits, arising from the use or performance of the Platform or Service. Kharidee is not responsible for the non-availability of the platform during maintenance or any unplanned suspension of access.
